2.B. Board of Directors
The Board of Executive Directors is responsible for conducting the day-to-day business of the institution, such as adopting strategies and policies and approving loan and grant proposals put forward by the institution’s management. Each Director is appointed or elected by a specific member country or a group of countries. Together they represent all of the institution’s member countries, with the "President" of the institution often serving as the Chairman of the Board. The number of Directors varies depending on the institution, but is generally between 14 and 24. In most of the IFIs, the Board meets regularly, about twice a week, with other meetings held whenever necessary.
Recommended transparency standards: The activities of the Board of Directors should be a matter of public record and citizens should be able to determine how they are being represented by their Executive Director. In general, citizens should be able to anticipate what will be discussed by the Board, review policy setting documents prior to meetings and convey their views to their respective Executive Director. The public should be able to view the meetings of the Board and full transcripts should be disclosed, along with any written statements.
